These Terms & Conditions (“Terms”) govern your use of the websites, services, and materials provided by Astrion Consulting Inc. (“Astrion Consulting,” “we,” “us,” or “our”). By accessing or using our site or services, you agree to be bound by these Terms. If you do not agree, please do not use our site or services.
 
1. Services
 
1.1 Astrion Consulting Inc. provides business support and management services, including but not limited to:
 

• Business assessments and planning

• Operations and administrative support

• Social media and marketing support

• Bookkeeping and inventory management

• Workflow design

• Team training and leadership coaching
   

1.2 The scope, timeline, and fees for each engagement are defined in a separate proposal, quote, or service agreement (“Service Agreement”). If there is any conflict between these Terms and a signed Service Agreement, the Service Agreement will control for that specific engagement.
 
2. Eligibility
 
2.1 You must be at least 18 years old and legally able to enter into contracts to use our services.
2.2 By engaging our services, you represent that:

• You have the authority to act on behalf of your business or organization; and

• All information you provide to us is accurate, complete, and current.
   

3. Client Responsibilities
 
3.1 You agree to:

• Provide timely access to information, systems, and personnel needed for us to perform the services;

• Review and approve deliverables within reasonable timeframes; and

• Comply with all applicable laws and regulations related to your business.

3.2 You are solely responsible for decisions made and actions taken based on our recommendations, reports, or training.
 
4. Fees & Payment Terms
 
4.1 Fees for our services are outlined in your Service Agreement, invoice, or quote.

4.2 Unless otherwise stated in writing:
 

• Invoices are due upon receipt;

• Late payments may incur a late fee or interest as permitted by applicable law; and

• We may pause or terminate services if invoices remain unpaid.
   

4.3 All fees are quoted and payable in U.S. Dollars (USD), unless otherwise agreed in writing.
 
5. Refund & Cancellation Policy
 
5.1 Consulting & Advisory Services

Because our consulting, planning, and advisory services are time‑based and customized to your business, fees for completed sessions, delivered work, or time already spent are non‑refundable.

5.2 Prepaid Packages & Retainers

• If you purchase a prepaid package or retainer , you will not be eligible for a refund.​

• Administrative and onboarding work completed prior to cancellation is non‑refundable.
   

5.3 Workshops, Training & Programs

• Cancellations are not eligible for a refund or credit, as specified in your Service Agreement or event terms.

 
6. Intellectual Property
 
6.1 Unless otherwise agreed in writing, all materials, tools, templates, training content, and methodologies we provide (“Astrion Materials”) are owned by Astrion Consulting or our licensors.

6.2 You are granted a limited, non‑exclusive, non‑transferable license to use Astrion Materials solely for your internal business purposes. You may not:
 

• Copy, distribute, resell, or sublicense Astrion Materials;

• Remove any copyright or proprietary notices; or

• Use Astrion Materials to create competing services.
   

6.3 Any custom deliverables created specifically for you may be subject to separate ownership terms in your Service Agreement.
 
7. Confidentiality
 
7.1 Both parties agree to keep confidential any non‑public business, financial, or technical information disclosed during the engagement (“Confidential Information”).
 
7.2 Confidential Information does not include information that:
 

• Is or becomes publicly available through no fault of the receiving party;

• Was already lawfully known to the receiving party;

• Is independently developed without use of the other party’s Confidential Information; or

• Must be disclosed by law, court order, or regulatory requirement.
   

7.3 We may use aggregated, de‑identified data for internal analysis, service improvement, and reporting, provided it does not identify you or your business.
 
8. No Legal, Tax, or Investment Advice
 
8.1 Our services are focused on business operations, management, and strategy. Unless explicitly stated in writing, we do not provide legal, tax, or investment advice.

8.2 You are responsible for consulting with qualified legal, tax, or financial professionals before making decisions that may have legal or financial consequences.
 
9. Disclaimer of Warranties
 
9.1 Our services are provided on an “as‑is” and “as‑available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, and non‑infringement.

9.2 We do not guarantee specific business outcomes, revenue levels, or results. Your results depend on many factors outside our control, including your market, team, and implementation.
 
10. Limitation of Liability

10.1 To the fullest extent permitted by law, Astrion Consulting, and our officers, employees, and contractors will not be liable for:
 

• Any indirect, incidental, special, consequential, or punitive damages;

• Any loss of profits, revenue, data, or business opportunities.
   

10.2 Our total liability for any claim arising out of or related to these Terms or our services will not exceed the total amount you paid to us for the specific service giving rise to the claim in the [12] months preceding the event.
 
11. Indemnification
 
You agree to indemnify, defend, and hold harmless Astrion Consulting, and our officers, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
 

• Your use of our services;

• Your violation of these Terms; or

• Your violation of any applicable law or third‑party rights.
   

12. Changes to Terms
 
12.1 We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page.

12.2 Your continued use of our site or services after changes are posted means you accept the updated Terms.
 
13. Governing Law & Dispute Resolution
 
13.1 These Terms are governed by the laws of the State of Maryland, without regard to its conflict of law principles.

13.2 Any dispute arising out of or relating to these Terms or our services will first be addressed through good‑faith negotiations. If not resolved, disputes will be handled in the state or federal courts located in the United States, and you consent to their jurisdiction.
 
14. Termination
 
14.1 Either party may terminate an engagement as described in the applicable Service Agreement.

14.2 We may suspend or terminate access to our services if you:

• Breach these Terms;

• Fail to pay fees when due; or

• Misuse our services or materials.
   

14.3 Sections that by their nature should survive termination (including payment obligations, intellectual property, confidentiality, limitations of liability, and indemnification) will continue in effect.
